Terms of Service

These Terms of Service ("Terms") govern your use of the website, email and text updates, listings, and related services (the "Services") operated by Max Gatenby LLC, a New Jersey limited liability company, doing business as ("DBA") Sound ("Sound," "we," "us," or "our"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Service

Sound provides a local live-music discovery service, including organized listings of live-music events, delivered via our website, email, and/or text. Sound is an information and discovery service. We are not the organizer, promoter, or seller of listed events, and we do not sell event tickets directly unless expressly stated.

2. Eligibility

You must be at least 18 years old to use the Services.

3. Subscriptions and Communications

By subscribing you consent to receive communications by email and/or text as described in our Privacy Policy. Unsubscribe from email via the link in any message; opt out of texts by replying STOP. Message and data rates may apply.

4. Event Information and Accuracy

We work to provide accurate, current information but do not guarantee that any listing is complete, accurate, or current. Events may be changed, postponed, or canceled by third parties without notice. You are responsible for verifying event details (date, time, location, price, age restrictions, availability) directly with the venue, performer, or ticket seller before attending or purchasing. Sound is not responsible for third-party events, venues, performers, or ticket sellers, or for any loss arising from reliance on listings.

5. Advertisers, Venues, and Performers

Businesses that purchase featured placement, listings, or advertising ("Partners") agree to provide accurate information and comply with these Terms and all applicable laws. Paid placements may be identified as such. Sound may accept, reject, edit, or remove any listing or advertisement at its discretion. Partner payment terms are governed by the applicable order or agreement.

6. Acceptable Use

You agree not to: use the Services unlawfully; scrape, copy, resell, or redistribute our listings, data, or content without permission; interfere with the Services; impersonate anyone; or submit false, misleading, or infringing content.

7. Intellectual Property

The Sound name, logo, brand, website, content, and compilation of listings are the property of Max Gatenby LLC and are protected by applicable law. You may not use our brand or content without prior written permission. Third-party event information remains the property of those third parties.

8. Third-Party Links

The Services may link to third-party sites (venues, performers, ticket sellers). We are not responsible for their content, policies, or practices. Your interactions with them are solely between you and the third party.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT LISTINGS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAX GATENBY LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless Max Gatenby LLC and its owners, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate access at any time, with or without cause or notice. Provisions that by their nature survive (intellectual property, disclaimers, limitation of liability, indemnification) will survive.

13. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Monmouth County, New Jersey (or another New Jersey county as applicable).

14. Changes to These Terms

We may update these Terms and will post the revised version with a new "Last Updated" date. Continued use after changes constitutes acceptance.
